Board Diversity Policy and Implementation Status

According to Paragraph 2 of Article 20 of the Company’s “Corporate Governance Best Practice Principles,” the Company’s Board of Directors shall be composed by more than five directors in response to the practical needs, subject to the Company’s business development scale and major shareholders’ shareholding.

In line with Paragraphs 3 and 4 of the same Article, the composition of the Board of Directors shall be structured with due consideration to diversity. Apart from the requirement that directors concurrently serving as company managers shall not exceed one-third of the total Board seats, the Company adopts a diversity policy tailored to its operational model and long-term development needs. Board members are expected to collectively possess the knowledge, expertise, and professional competencies necessary to fulfill their responsibilities.

The Company also places emphasis on gender equality in board composition, setting a target whereby directors of different genders shall account for at least one-third of all seats. At present, all Board members are male, reflecting the historical predominance of male professionals in the semiconductor industry and the relatively low participation rate of women in related technical fields. Moving forward, the Company is committed to improving gender diversity and plans to add at least one female director in the next Board election as a step toward this target.
To further enhance gender diversity, the Company has established the following measures:
a. Integrating the principle of gender balance into director nomination and election processes.
b. Proactively identifying female candidates with relevant professional expertise and managerial capabilities.
c. Gradually increasing the number of female directors to strengthen board diversity and governance effectiveness.
